Terms of Service

1. Agreement to Terms
By accessing or using the Australia Tender Alerts platform ("the Service"), operated by Australia Tender Alerts (ABN 85 639 380 225) via australiatenderalerts.com ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.
These Terms, together with our Privacy Policy, constitute a legally binding agreement between you and Australia Tender Alerts. We recommend that you read both documents carefully before using the Service.
2. Account Terms
To access the features of the Service, you must register for an account. By creating an account, you agree to the following:
- You must provide accurate, current, and complete information during the registration process and keep your account information up to date.
- Accounts are email-based. Each account is for a single user and must not be shared with others.
- Each user account is associated with one organisation. Access to tender classifications and alerts is scoped to your organisation.
- You are solely responsible for maintaining the confidentiality and security of your login credentials. You accept responsibility for all activities that occur under your account.
- You must be at least 18 years of age to create an account and use the Service.
- You must notify us immediately at [email protected] if you become aware of any unauthorised access to or use of your account.
- By creating an account, you expressly consent to receiving electronic communications from us, including tender alert emails, service notifications, account updates, and billing communications. These transactional emails are integral to the operation of the Service and cannot be opted out of while your account remains active. We may also send you marketing and promotional communications, such as onboarding reminders and follow-up emails about subscribing. You can opt out of these marketing communications at any time using the unsubscribe link in the email, without affecting the transactional emails required to operate the Service.
3. Subscription and Billing
Access to the Service beyond the free trial period requires a paid subscription. By subscribing, you agree to the following billing terms:
- All paid subscriptions are processed securely via Stripe. We do not store your payment card details on our servers.
- All prices are listed in Australian Dollars (AUD) and are exclusive of Goods and Services Tax (GST), which will be applied where applicable.
- Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date.
- You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period.
- No refunds will be issued for partial or unused billing periods, except where required by the Australian Consumer Law or other applicable legislation.
- We reserve the right to change subscription pricing at any time. You will be given at least 30 days' written notice of any price changes before they take effect.
4. Free Trial
We offer a 30-day free trial on Professional and Enterprise plans. The following conditions apply:
- You can register and explore the platform without providing payment details. To activate your free trial with full access to all features, you will be required to enter payment details via our secure checkout (powered by Stripe). You will not be charged during the trial period.
- During the trial, you will have full access to all features available under your selected plan tier, including AI-powered tender classification and email alerts. Usage limits (such as the number of alert profiles, users, and email recipients) are determined by the plan tier you choose at registration.
- At the end of the trial period, your account will not automatically convert to a paid subscription. You must explicitly choose to subscribe to continue using the Service.
- Each organisation is limited to one free trial. Creating multiple accounts or organisations to obtain additional free trials is a breach of these Terms and may result in immediate termination of all associated accounts.
5. Acceptable Use
You agree to use the Service only for its intended purpose and in accordance with these Terms. You agree not to:
- Scrape, crawl, or use any automated means to extract data from the platform, including but not limited to bots, spiders, or screen-scraping tools.
- Resell, redistribute, sublicense, or commercially exploit any data or content obtained through the Service without our prior written consent.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of any part of the Service.
- Use the Service, or any data obtained from it, to build or operate a product or service that competes directly with Australia Tender Alerts.
- Attempt to gain unauthorised access to other users' accounts, our systems, or any networks connected to the Service.
- Upload or transmit any malicious code, viruses, or other harmful material, or interfere with the proper operation of the Service.
- Use the Service for any purpose that is unlawful or prohibited by these Terms, or in any manner that could damage, disable, or impair the Service.
6. Intellectual Property
The Australia Tender Alerts platform, including its design, features, functionality, and underlying code, is the intellectual property of Australian Tender Alerts and is protected by applicable intellectual property laws.
Tender data displayed on the platform is sourced from publicly available government procurement portals, primarily Australian but which may also include selected international sources. We do not claim ownership of the underlying tender content itself.
Any business profile data, keywords, and organisational information you provide remains your property. By submitting this data, you grant us a limited licence to use it solely for the purpose of providing the Service to you, including AI-powered classification and alert generation.
To provide AI-powered classification, your business profile data (including industry, keywords, and organisational description) may be processed by third-party artificial intelligence providers, including OpenAI (based in the United States). This data is transmitted solely for the purpose of generating relevance scores and is not used by these providers to train their models. By using the Service, you consent to this processing. For further details on how your data is handled, please refer to our Privacy Policy.
7. AI Classification Disclaimer
The Service uses artificial intelligence to score and classify the relevance of government tenders to your organisation. This section covers the AI scoring layer specifically (for disclaimers regarding the underlying tender data itself, see Section 8). You acknowledge and agree to the following:
- AI-powered relevance scoring is provided on a best-effort basis. AI can and does make mistakes. It is intended as a tool to assist, not replace, your own assessment of tender opportunities and should not be solely relied upon.
- Classifications are not guaranteed to be accurate, complete, or free from error. Tenders may be incorrectly scored as relevant or irrelevant. A low relevance score does not mean a tender is unsuitable for your business. Equally, a high relevance score does not guarantee that a tender is suitable for your business or that you will meet the eligibility requirements.
- You should independently verify all tender requirements, eligibility criteria, and submission deadlines before preparing or submitting a response to any tender.
- We are not liable for any missed tender opportunities, inaccurate classifications, or any decisions made in reliance on the AI scoring.
- The quality and accuracy of AI classification may vary depending on the level of detail provided in your business profile and keyword configuration.
- We have no involvement in and accept no liability for the outcome of any tender submission you make, whether or not the tender was identified or classified by our Service.
8. Data Accuracy
This section covers the underlying tender data sourced from government portals (for disclaimers regarding AI relevance scoring, see Section 7). Tender data displayed on the platform is sourced from publicly available government procurement portals, primarily Australian. You acknowledge and agree that:
- We do not guarantee the accuracy, completeness, timeliness, or reliability of any tender data displayed on the platform. Tender information may contain errors, omissions, or become outdated between source updates.
- We do not guarantee coverage of all government tenders or all government procurement portals. The tender sources we monitor may change at any time without notice. Tenders published on portals we do not monitor will not appear on the platform.
- Tenders may be missing from the platform due to changes in source portal availability, format changes, technical issues, anti-scraping measures, or other circumstances beyond our control.
- Closing dates, eligibility criteria, and other tender details should always be independently verified on the original issuing authority's website before you prepare or submit a response.
- We are not liable for any loss, cost, or damage arising from reliance on tender data displayed on the platform without independent verification.
9. Service Availability
We strive to provide reliable and continuous access to the Service. However, you acknowledge and agree that:
- We do not guarantee 100% uptime or uninterrupted access to the Service. Downtime may occur due to maintenance, updates, or circumstances beyond our reasonable control.
- Scheduled maintenance may temporarily affect the availability of the Service. We will endeavour to provide advance notice of planned maintenance where practicable.
- The freshness and availability of tender data depends on the update schedules and availability of the underlying government procurement portals. We cannot guarantee that all tenders will be captured or that data will be available in real time.
- Email alert delivery is provided on a best-effort basis. We do not guarantee that alert emails will be delivered to your inbox. Emails may be delayed, filtered, blocked, or not delivered due to spam filters, email provider policies, incorrect email addresses, full mailboxes, or other factors outside our control. You should not rely solely on email alerts as your only means of monitoring tender opportunities.
10. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. We expressly disclaim all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Without limiting the foregoing, we make no warranty or representation that:
- The Service will meet your specific requirements or expectations.
- The Service will be uninterrupted, timely, secure, or error-free.
- The results obtained from use of the Service, including tender data and AI classifications, will be accurate, reliable, or complete.
- Any errors in the Service will be corrected within any particular timeframe.
Nothing in this section is intended to exclude, restrict, or modify any consumer guarantees under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other statutory rights that cannot be excluded by agreement.
11. Limitation of Liability
To the maximum extent permitted by applicable law, the total aggregate liability of Australia Tender Alerts arising out of or in connection with your use of the Service shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.
To the maximum extent permitted by applicable law, Australia Tender Alerts shall not be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action or the theory of liability. This includes, but is not limited to:
- Loss of profits or revenue
- Loss of business or business opportunities
- Missed tender opportunities or submissions
- Loss of data or corruption of data
- Reputational damage
- Any other consequential or indirect loss
Nothing in these Terms is intended to exclude, restrict, or modify any rights or remedies you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.
12. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Australia Tender Alerts, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or reliance on the Service, including any decisions made or actions taken based on tender data, AI classifications, or alerts provided by the Service.
- Your breach of these Terms or any applicable law or regulation.
- Any tender submission or bid you make, whether or not the tender was identified, classified, or recommended by the Service.
- Any claim by a third party arising from your use of data obtained through the Service.
This indemnification obligation does not apply to the extent that a claim arises solely from our gross negligence or wilful misconduct, or to the extent that it is prohibited by the Australian Consumer Law or other applicable legislation.
13. Termination
Either party may terminate this agreement at any time, subject to the following conditions:
- You may terminate your account at any time by cancelling your subscription and deleting your account through your account settings, or by contacting us to request account deletion.
- We may suspend or terminate your account immediately, without prior notice, if we reasonably determine that you have breached any of these Terms. If we terminate your account for breach, no refund will be issued for any remaining portion of your billing period, except where required by the Australian Consumer Law.
- We may also suspend or terminate your account at any time, for any reason or no reason, at our sole discretion. If we terminate a paid account without cause, we will issue a pro-rata refund for any unused portion of the current billing period.
- Upon termination, your right to access and use the Service ceases immediately.
- Following termination, your account data will be permanently deleted within 30 days, unless we are required by law to retain certain information for a longer period.
- Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimer of warranties, limitation of liability, indemnification, and governing law.
14. Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms or the Service, the parties agree to the following process:
- The parties will first attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days from the date written notice of the dispute is given.
- If the dispute cannot be resolved through negotiation within that period, either party may submit the dispute to the courts of Queensland, Australia.
- Unless otherwise ordered by a court, each party shall bear their own legal costs and expenses in connection with any dispute resolution proceedings.
15. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:
- Outages, changes, or unavailability of government procurement portals from which tender data is sourced.
- Failures or disruptions to third-party infrastructure, including cloud hosting, payment processing, or email delivery services.
- Natural disasters, power outages, internet disruptions, cyberattacks, or other events outside our reasonable control.
For the avoidance of doubt, a force majeure event does not relieve you of any payment obligations under these Terms.
16. Governing Law
These Terms are governed by and shall be construed in accordance with the laws of the State of Queensland, Australia. You irrevocably submit to the non-exclusive jurisdiction of the courts of Queensland and any courts entitled to hear appeals from those courts for the purpose of any proceedings arising out of or in connection with these Terms.
17. Notices
All notices, requests, and other communications under these Terms shall be in writing and shall be considered to have been duly given when:
- Notices to you: Sent to the email address associated with your account. It is your responsibility to keep your email address current. Notices sent to your registered email address shall be deemed received twenty-four (24) hours after sending, whether or not you actually receive or read the email.
- Notices to us: Sent via email to [email protected]. Notices to us shall be deemed received upon our written acknowledgement of receipt.
This section applies to all formal communications under these Terms, including but not limited to notices of price changes (Section 3), dispute notices (Section 14), and changes to these Terms (Section 19).
18. Waiver
No failure or delay by Australia Tender Alerts in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that or any other right, power, or remedy. A waiver is not valid or binding unless made in writing and signed by Australia Tender Alerts.
19. Changes to Terms
We reserve the right to update or modify these Terms at any time. When we make changes:
- Material changes will be communicated to you via email at least fourteen (14) days before they take effect.
- The "Last updated" date at the top of this page will be revised to reflect the date of the most recent changes.
- Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms.
- If you do not agree with the updated Terms, you may terminate your account before the changes take effect.
20. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect.
21. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.
22. Entire Agreement
These Terms, together with our Privacy Policy and the plan details and pricing displayed on our website at the time of your subscription, constitute the entire agreement between you and Australia Tender Alerts with respect to your use of the Service. They supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and us relating to the Service.
